How to Start a Hotel Equipment Business in India

A hotel equipment business can operate as a dealer, distributor, importer, fabricator or manufacturer serving hotels, restaurants, commercial kitchens, caterers, bakeries and institutional buyers. The capital and compliance requirements depend mainly on the products sold and whether the business only trades in finished goods or also manufactures, imports, installs or services equipment.

Key point: there is no single licence called a "hotel equipment business licence." General business registrations apply, while product-specific requirements can arise for electrical appliances, gas systems, packaged commodities, weighing or measuring equipment and products covered by mandatory standards or quality-control orders.

Hotel equipment product categories

The original business concept includes a wide range of refrigeration, kitchen, catering, linen, furniture and utility products. A modern catalogue can be organised as follows:

Choose the business model

Dealership and distribution

A dealer can begin with a smaller office, showroom or warehouse and source products from established manufacturers. The business should focus on supplier authorisations, product documentation, inventory, installation capability, warranty support and after-sales service.

Manufacturing and fabrication

Manufacturing commercial kitchen equipment, refrigeration systems or other machinery normally requires more capital, factory space, machinery, skilled technical staff, quality controls and compliance with factory, pollution, electrical, fire and product-specific requirements applicable to the activity and location.

Importing equipment

Importers should obtain an Importer Exporter Code where required and confirm customs classification, applicable duties, product standards, labelling, Legal Metrology requirements and any compulsory certification before placing an overseas order. Business structure in India

The business may be organised as a proprietorship, partnership, LLP, One Person Company, private company or public company according to ownership, liability, funding and governance needs.

Proprietorship

A proprietorship is operated by one proprietor. It can suit a small dealership or service operation, but the proprietor and business do not have the separate legal personality available to a company or LLP.

Partnership

Section 4 of the Indian Partnership Act, 1932 defines partnership as the relation between persons who have agreed to share the profits of a business carried on by all or any of them acting for all. Registration provisions are contained in Chapter VII. Section 69 imposes important restrictions on suits to enforce specified contractual rights by or on behalf of an unregistered firm or partner, subject to statutory exceptions. Company

The old rule stating that a private company can have only 50 members is outdated. Under Section 3 of the Companies Act, 2013, a company for a lawful purpose may be formed by seven or more persons for a public company, two or more persons for a private company, or one person for a One Person Company, subject to the Act. A private company's articles must also satisfy the statutory definition and restrictions applicable to a private company. Company incorporation and filings are handled through the Ministry of Corporate Affairs.

Registrations and legal compliance

Udyam registration for MSMEs

Eligible micro, small and medium enterprises can use the official Udyam Registration portal. Registration is online and based on the current MSME classification criteria. From 1 April 2025, the notified thresholds classify a micro enterprise as investment in plant and machinery or equipment not exceeding Rs. 2.5 crore and turnover not exceeding Rs. 10 crore; a small enterprise as investment not exceeding Rs. 25 crore and turnover not exceeding Rs. 100 crore; and a medium enterprise as investment not exceeding Rs. 125 crore and turnover not exceeding Rs. 500 crore.

GST

GST registration depends on the Central Goods and Services Tax Act, 2017, turnover thresholds and compulsory-registration provisions applicable to the business. Dealers, manufacturers, importers and interstate or e-commerce sellers should assess their facts under current law. Registration and returns are handled through the GST portal.

Local and establishment requirements

Depending on the State, city and premises, shops and establishments registration, municipal trade permissions, fire requirements, professional tax, labour registrations, factory approvals or pollution-control permissions may apply. Manufacturing operations should prepare a location-specific approval checklist before leasing or constructing a facility.

Product standards and BIS requirements

Hotel equipment is not one regulatory product category. Certain electrical appliances, refrigeration products, machinery or components may be subject to compulsory Indian Standards under a Quality Control Order or another mandatory conformity-assessment scheme. Other products may not require compulsory BIS certification.

Before manufacturing or importing an electrical or engineered product, search the current product and Quality Control Order position on the Bureau of Indian Standards compulsory certification resources. Do not place a BIS Standard Mark on a product unless its use is lawfully authorised under the applicable scheme.

Legal Metrology and packaged goods

If the business manufactures, packs or imports commodities sold in packages, the Legal Metrology Act, 2009 and the Legal Metrology (Packaged Commodities) Rules, 2011, as amended, may require declarations and registrations depending on the transaction and package. The Department of Consumer Affairs identifies registration of manufacturers, packers and importers under Rule 27 of the Packaged Commodities Rules as part of the Legal Metrology framework.

Facilities required

A dealership can operate with modest infrastructure, while a manufacturer or large distributor needs substantially more. Typical facilities include:

  • office, showroom, warehouse or factory premises as appropriate;
  • telephone and reliable internet connectivity;
  • computers, printers and licensed business software;
  • office and showroom furniture;
  • storage racks and safe material-handling arrangements;
  • demonstration area for equipment where appropriate;
  • tools, testing instruments and installation equipment;
  • delivery vehicles or logistics arrangements; and

The original staffing categories of engineers, technicians, reception personnel, marketing staff and general helpers remain useful. Depending on scale, the business may also require:

Business bank account

Open a current account in the legal name of the business. Banks perform KYC and request documents according to the entity type, applicable Reserve Bank requirements and their own current account-opening procedures. Sales and marketing

Hotel equipment is primarily a business-to-business market. Product specifications, capacity, power consumption, materials, warranty, installation requirements and after-sales terms should be stated accurately. Where a product is subject to mandatory certification or a Quality Control Order, marketing claims should match the valid certification and model.

  1. Choose the product categories and decide whether to trade, manufacture or import.
  2. Research hotel, restaurant and commercial-kitchen demand in the target market.
  3. Select the legal structure and open the required tax and business registrations.
  4. Identify reliable manufacturers and obtain product specifications, warranties and compliance documents.
  5. Check BIS, Quality Control Order, Legal Metrology, electrical, gas and import requirements product by product.
